Mailroom Terms of Service
Version 1.0 — Effective August 1, 2026 Entity: Oliver Lucky Industries, a Wyoming corporation ("Mailroom," "we," "us")
1. The Service
Mailroom provides software that simplifies corporate shipping: creating shipments, purchasing carrier shipping labels, tracking packages, managing address books, approval workflows, and shipping reports, delivered through a Slack application, a web administration panel, mobile applications, and an API (together, the "Service").
Mailroom is a software platform, not a carrier. Transportation of packages is performed by third-party carriers (including UPS and FedEx, each a "Carrier") under the Carrier's own terms, tariffs, and service guides. By purchasing a label through the Service you also agree to the applicable Carrier's terms of service for that shipment.
2. Accounts and Organizations
2.1 Organizations. The Service is provided to companies and other organizations ("Organizations"). An Organization is created when: (a) the Mailroom app is installed into a Slack workspace; (b) a person registers directly with Mailroom using an email address and password and creates an organization; or (c) an account is provisioned programmatically through Mailroom's API (including for AI-agent use) and subsequently claimed by a person. In each case, the person who installs the app, completes registration, or claims the account represents that they have authority to bind the Organization to these Terms.
2.2 Users and admins. Individuals in an Organization ("Users") may use the Service under the Organization's account. Organization administrators control settings including carrier accounts, ship-from addresses, approval requirements, and billing. The Organization is responsible for the acts and omissions of its Users.
2.3 Accurate information. You agree to provide accurate company, address, payment, and carrier account information and to keep it current. Accounts registered with an email address must use a valid email address that you control; we may require you to verify your email address before using some or all of the Service.
2.4 Credential security. You are responsible for maintaining the confidentiality of your account credentials — including passwords, API keys, and session tokens — and for all activity that occurs under them. Notify us promptly at hello@olicorp.us of any unauthorized access to or use of your account.
3. Shipping Labels, Rates, and Your Responsibility for Package Information
3.1 Quoted rates are estimates. Rates shown before purchase are calculated from the information you provide — including weight, dimensions, package type, addresses, and service level — plus Carrier rate data. The final amount charged for a shipment may differ from the quoted rate if any of that information is inaccurate or if the Carrier applies surcharges.
3.2 You are responsible for package information. You (and not Mailroom) are responsible for the accuracy of the weight, dimensions, package type, declared value, addresses, and contents description entered for every shipment, regardless of who or what entered them (including values suggested by the Service — see Section 5).
3.3 Dimensional weight. Carriers may bill based on dimensional (volumetric) weight where it exceeds actual weight, per the Carrier's published formulas.
3.4 Prohibited items. You may not ship anything prohibited by law or by the applicable Carrier's terms (including hazardous materials, unless expressly permitted and properly declared under the Carrier's rules). You are solely responsible for compliance with all shipping, export, and customs laws.
4. Fees, Prepaid Balance; Carrier Adjustments
4.1 What Mailroom charges for
Mailroom charges Organizations for: (a) subscription/monthly fees for the Service; (b) optional add-on products; and (c) shipping labels purchased through Mailroom's Carrier accounts (where the Organization has not connected its own Carrier account), including related Carrier Adjustments (defined below). Current pricing is shown in the Service or an applicable order form.
4.2 Prepaid Balance and auto-refill
Charges under Section 4.1 are drawn from a prepaid account balance funded by your Organization (the "Balance").
(a) Funding and auto-refill. You authorize Mailroom to charge your designated payment method to fund the Balance, including automatic refills of your configured refill amount when the Balance falls below your configured threshold. You can change the refill amount and threshold in your billing settings.
(b) Draws. Mailroom deducts from the Balance: subscription and add-on fees when due, label costs at purchase, and Carrier Adjustments when received. Carrier credits, refunds for voided labels, and sustained adjustment disputes are added back to the Balance.
(c) Negative Balance. If a deduction exceeds the available Balance (for example, a large Carrier Adjustment), the Balance may go negative; you authorize Mailroom to charge your payment method to bring the Balance to zero (or trigger your auto-refill). Mailroom may suspend label purchasing while a Balance is negative.
(d) Balance is not a deposit account. The Balance is a prepayment for Services, is not insured, earns no interest, and — except where required by law — unused Balance is refundable upon account closure only after all pending charges, including late-arriving Carrier Adjustments for shipments already made, have settled (see Section 11).
4.3 Your own carrier account ("BYO Account")
If your Organization connects its own Carrier account, label charges — and any Carrier adjustments, surcharges, duties, or fees for those shipments — are billed by the Carrier directly to your Carrier account under your agreement with the Carrier. Mailroom is not a party to those charges and has no responsibility for them. Subscription and add-on fees under Section 4.1(a)–(b) still apply and are drawn from the Balance.
4.4 Carrier Adjustments (shipments on Mailroom's Carrier accounts)
(a) What they are. Carriers independently verify the weight, dimensions, package type, service, and addresses of packages in their networks. If a Carrier determines that the information entered at purchase understated or overstated the correct charge — or applies an address correction, fuel, residential, remote-area, or other surcharge — the Carrier bills or credits Mailroom the difference (a "Carrier Adjustment"). You agree that Carrier Adjustments attributable to your Organization's shipments are your responsibility, and that Mailroom will pass them through to you at cost — the amount the Carrier charged Mailroom, with no markup — deducted from the Balance per Section 4.2(b). Downward adjustments (Carrier credits) are added to the Balance in full. Carrier Adjustments commonly arrive 30–90 days after shipment and may arrive later.
(b) Notice. Mailroom will notify your Organization of each Carrier Adjustment, identifying the shipment, the reason reported by the Carrier, and the amount, and will reflect adjustments in your billing history.
(c) Disputes. Where the Carrier permits, you may dispute a Carrier Adjustment through the Service within the Carrier's dispute window. Mailroom will submit your dispute and supporting evidence to the Carrier, but the Carrier's determination is final. Amounts remain deducted while a dispute is pending; if the Carrier sustains your dispute, the full adjustment amount is credited back to the Balance.
4.5 Failed payment
If a payment method charge fails, we may retry, suspend the Service or label purchasing for your Organization, and/or set off amounts owed against credits. Amounts more than 30 days past due may accrue interest at the lesser of 1.5% per month or the maximum lawful rate.
4.6 Voids and refunds
Labels may be voided through the Service within the applicable Carrier's void window. Refunds for voided labels are credited to the Balance once the Carrier confirms the void. Used labels cannot be voided.
4.7 Taxes
Fees are exclusive of taxes; you are responsible for applicable taxes other than taxes on Mailroom's income.
4.8 Free trial and subscriptions (directly registered Organizations)
Organizations that register directly with Mailroom (rather than through a Slack workspace installation) begin with a free trial. The length of the free trial is stated in the Service at signup. When the trial ends, an active paid subscription is required to create new shipments.
(a) Subscription billing. Subscription fees are billed through our payment processor (Stripe) at the prices published in the Service at the time you subscribe. Subscriptions renew automatically each billing period until canceled, and you authorize recurring charges to your payment method for each renewal.
(b) Cancellation. You may cancel your subscription at any time in your billing settings. Cancellation takes effect at the end of the current billing period; you retain subscription access through the end of that period. Fees for partial billing periods are not refunded except where required by law.
(c) Separate from shipping charges. Subscription fees are separate from label/postage charges and Balance funding under Sections 4.2–4.4. Canceling a subscription does not affect your responsibility for shipments already made, including late-arriving Carrier Adjustments.
5. AI-Suggested Package Details
The Service can suggest package weight, dimensions, package type, and typical value from an item description using machine-learning models. Suggestions are estimates only. They may be wrong. You must verify all suggested values against the actual package before purchasing a label. Charges resulting from inaccurate suggested values that you accepted — including Carrier Adjustments — remain your responsibility under Sections 3 and 4.
6. Approvals and Internal Controls
Approval workflows (manager approval, thresholds, escalation, timeouts) are configuration tools provided for the Organization's convenience. Mailroom is not responsible for shipments approved, denied, or expired under the Organization's configuration, and an approval within the Service does not shift responsibility for a shipment's contents or costs to any approver or to Mailroom.
7. Third-Party Services
The Service depends on third-party platforms and services, including Slack, Carriers' APIs, and cloud infrastructure providers. Mailroom is not responsible for the acts, omissions, outages, or data practices of third parties, including Carrier delivery performance, loss, or damage. Claims for lost or damaged packages must be filed with the Carrier under the Carrier's terms (declared-value coverage is a Carrier product, not insurance provided by Mailroom).
8. Your Content and Data
You retain ownership of the data you submit to the Service (addresses, shipment details, contact lists). You grant Mailroom a license to use that data to provide, secure, and improve the Service, as described in the Privacy Policy. You are responsible for having the right to submit personal information (such as recipients' addresses) to the Service.
9. Acceptable Use
You will not: misuse or interfere with the Service; attempt unauthorized access; use the Service to violate law or third-party rights; resell the Service without our written agreement; or use the Service to ship prohibited items. We may suspend Organizations or Users for violations, fraud risk, or non-payment.
10. Intellectual Property
Mailroom and its licensors own the Service and all associated intellectual property. These Terms grant no rights except the limited right to use the Service as provided.
11. Term, Suspension, Termination
Either party may terminate at any time (uninstalling the app and closing the account, for Organizations). Sections that by their nature survive — including payment obligations for shipments already made and Carrier Adjustments arriving after termination, Sections 4, 7, 12, 13, and 14 — survive termination. Carrier Adjustments for pre-termination shipments remain chargeable after termination. Upon account closure, any remaining Balance is refunded within 60 days, less amounts reserved for shipments still outstanding — including shipments in transit and shipments subject to late-arriving Carrier Adjustments, surcharges, or overages — and less any other amounts owed. Reserved amounts are refunded (or applied) promptly as those shipments settle.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAILROOM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY REGARDING CARRIER PERFORMANCE, DELIVERY TIMES, RATE ACCURACY, OR AI-GENERATED SUGGESTIONS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) MAILROOM WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA; AND (b) MAILROOM'S TOTAL LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF (i) FEES PAID BY YOUR ORGANIZATION TO MAILROOM (EXCLUDING PASS-THROUGH CARRIER CHARGES) IN THE 12 MONTHS BEFORE THE CLAIM AND (ii) $100.
14. Indemnification
The Organization will defend and indemnify Mailroom against third-party claims arising from: the Organization's shipments (including contents, prohibited items, and customs violations); inaccurate information provided to the Service; or breach of these Terms.
15. Modifications
We may update these Terms. For material changes — including changes to Section 4 (Billing) — we will provide advance notice through the Service and require re-acknowledgment where appropriate. Continued use after the effective date constitutes acceptance.
16. General
Governing law: New York, excluding conflicts rules. Venue / dispute resolution: any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state and federal courts located in New York County, New York, and each party consents to personal jurisdiction and venue there. These Terms plus any order form and the Privacy Policy are the entire agreement. If any provision is unenforceable, the rest remain in effect.
